ProtWare HTML Guardian License Agreement

IMPORTANT-READ CAREFULLY:
This ProtWare End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and ProtWare , Inc. ("ProtWare") for the ProtWare software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation (collectively, "SOFTWARE PRODUCT"). By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, you may not use the SOFTWARE PRODUCT.
SOFTWARE PRODUCT LICENSE
The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.
This EULA describes your rights with respect to the SOFTWARE PRODUCT and its components.
1. GRANT OF LICENSE.

This EULA grants you the following rights:
*You may install and use one (1) copy of the SOFTWARE PRODUCT on a single computer.
You may not install the SOFTWARE PRODUCT in any form of environment which allows other parties access to the software, for example via remote- or web-based access, whether for free or in return for any form of consideration. This includes, but is not limited to, providing remote access over a network, over the Internet, or by means of any remote control software.

You may protect the following files with the SOFTWARE PRODUCT:
- all the files originally created by you or by your own company.
- all the files created exclusively for you (or for your own company) by a third party, like if you paid a web design company to create a website for you.
and you may use the protected versions of the above files as you wish, without any limitations - they may be given to any third parties, may be used in any form of environment , may be uploaded to any web site / web server / corporate intranet etc., and may be freely distributed on any media.

You may not protect any other files with the SOFTWARE PRODUCT, except for testing purposes.
Files protected for testing purposes should not be available in any form of environment which allows other parties to access them, which includes, but is not limited to, remote- or web-based access.
Files protected for testing purposes should not be stored on any location except the local hard disk(s) of the computer where the SOFTWARE PRODUCT is installed. All the files protected for testing purposes must be deleted within 48 hours from all storage devices.

It is strictly prohibited to provide protection services to any third parties, whether for free or in return for any form of consideration. You are not allowed to protect files which were not originally created by you (your own company) or created exclusively for you by a third party, except for testing purposes.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
* Support Services.
ProtWare may provide you with support services related to the SOFTWARE PRODUCT ("Support Services"). Use of Support Services is governed by the ProtWare policies and programs described in the user manual, in "on line" documentation and/or other ProtWare-provided materials. Any supplemental software code provided to you as part of the Support Services shall be considered part of the SOFTWARE PRODUCT and subject to the terms and conditions of this EULA. With respect to technical information you provide to ProtWare as part of the Support Services, ProtWare may use such information for its business purposes, including for product support and development. ProtWare will not utilize such technical information in a form that personally identifies you.
* Limitations on Reverse Engineering, Decompilation, and Disassembly.
You may not modify, reverse engineer, decompile, disassemble or create derivative works from the SOFTWARE PRODUCT, or allow others to modify, reverse engineer, decompile, disassemble or create derivative works from the SOFTWARE PRODUCT.
* Rental.
You may not modify, rent, lease, lend or resell for profit the SOFTWARE PRODUCT, or create derivative works based upon it.
* Distribution.
[1] ProtWare HTML Guardian Personal Edition may be freely distributed in its original, unmodified and complete form.
You may distribute HTML Guardian Personal Edition in its original, unmodified and complete form via any electronic means (Internet, BBS's, Shareware distribution libraries, CD-ROMs, DVD's etc.).
You may not charge any fee for the copy or use of the HTML Guardian Personal Edition itself, but you may charge a distribution fee that is reasonably related to any cost you incur distributing it (e.g. packaging).
You must not represent in any way that you are selling the software itself. Your
distribution of the HTML Guardian Personal Edition will not entitle you to any compensation from ProtWare, Inc.
You must distribute a copy of this EULA with any copy of HTML Guardian Personal Edition and anyone to whom you distribute it is subject to this EULA.

[2]ProtWare HTML Guardian Professional and Enterprise Editions may not be distributed in any form.
* Software Transfer.
You may permanently transfer all of your rights under this EULA, provided you retain no copies, you transfer all of the SOFTWARE PRODUCT (including all component parts, the media and printed materials, any upgrades, this EULA, and, if applicable, the Certificate of Authenticity), and the recipient agrees to the terms of this EULA.
3. ALL RIGHTS NOT EXPRESSLY GRANTED HEREIN ARE RESERVED BY ProtWare.
4. TERMINATION. Without prejudice to any other rights, ProtWare may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts.
This termination will be in addition to any criminal, civil or other remedies which ProtWare may seek.
5. COPYRIGHT. All title and copyrights in and to the SOFTWARE PRODUCT, the accompanying printed materials, and any copies of the SOFTWARE PRODUCT are owned by ProtWare or its suppliers. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE PRODUCT like any other copyrighted material. You may not copy the printed materials accompanying the SOFTWARE PRODUCT.
LIMITED WARRANTY

NO WARRANTIES.
THE SOFTWARE PRODUCT IS PROVIDED "AS IS" AND WITH ALL THE POSSIBLE FAULTS IT MAY HAVE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ProtWare AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, WITH REGARD TO THE SOFTWARE PRODUCT, AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHERS, WHICH VARY FROM STATE/JURISDICTION TO STATE/JURISDICTION.
LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ProtWare OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT OR THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF ProtWare HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
